Watch Kompany — Legal Notice & Terms of Service

Not legal advice. These are solid, conventional drafts for a UAE e-commerce retailer, but liability limitations and governing-law clauses are exactly the provisions that get tested when something goes wrong. Have these reviewed by a UAE-qualified lawyer before publishing — particularly Sections 9 and 11.

One gap: replace Ras Al Khaimah Economic Zone (RAKEZ) with the free zone authority that issued licence 5028501.

Read this before publishing — it matters more than the drafting.

Hours Avenue FZ LLC is licensed by RAKEZ, in Ras Al Khaimah, but trades from Al Quoz Industrial Area 1, in Dubai, selling to customers across the UAE mainland.

Free zone companies are generally restricted from trading directly in the UAE mainland without a mainland licence, a registered branch, or a local distributor. E-commerce selling into the mainland from a free zone licence is common and widely done, but it is not automatically permitted, and the position depends on your activity codes and any additional approvals you hold.

This affects three things in these documents:

  1. Jurisdiction (Section 11). I've drafted for Dubai Courts as the conventional default. Your correct forum may instead be RAK Courts, or RAKEZ's own mechanism. Confirm before publishing.
  2. Registered vs trading address. Your licence shows a RAK registered address. A Legal Notice conventionally states the registered address, with the operational address alongside. I've used Al Quoz throughout because that's where customers deal with you — but consider adding the RAK registered address so the two agree with the licence.
  3. VAT. Free zone status does not exempt you from VAT registration. Some RAKEZ areas are Designated Zones with special treatment for goods, but that treatment is narrow and does not extend to ordinary mainland retail sales. Raise this with your accountant alongside the VAT already charged without a TRN.

None of this is a reason to delay publishing the policies — the current live pages are worse in every respect. But put the mainland trading question to your setup consultant this month.

Product information

We take care to describe our products accurately, including specifications, materials and dimensions supplied by the manufacturer.

Photographs are intended to represent the product as closely as possible. Colours may appear differently depending on your screen, and finishes such as brushed steel, PVD and mother of pearl are particularly difficult to reproduce exactly. Minor variation between the image and the item you receive is normal and is not a defect.

Where a manufacturer changes a specification without notice, the item supplied may differ in small respects from its description. Where any difference is material, our Returns and Refunds Policy applies.

Pricing and availability

All prices are shown in UAE Dirhams (AED).

We make every effort to ensure prices and availability are accurate. If a pricing or stock error is identified after you place an order, we will contact you before dispatch and give you the choice of proceeding at the corrected price or cancelling for a full refund. We reserve the right to decline or cancel an order arising from an obvious error.

Prices may change at any time without notice. Changes do not affect orders already confirmed.

Availability of this website

We aim to keep this website available at all times but cannot guarantee uninterrupted access. We may suspend, withdraw or restrict all or part of the site for maintenance, updates or business reasons without notice.

Governing law and jurisdiction

This Legal Notice and any dispute arising from it or from your use of this website are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai.

The courts of Dubai shall have jurisdiction, without prejudice to any right you may have under UAE consumer protection law to bring a complaint before the relevant consumer protection authority.

1. About these terms

These Terms of Service govern your use of watchkompany.com and any purchase you make from us. By using this website or placing an order, you accept these terms.

This website is operated by Hours Avenue FZ LLC, trading as Watch Kompany, Trade Licence No. 5028501.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to purchase from this website. By placing an order you confirm that you meet these conditions.

3. Your account

If you create an account, you are responsible for keeping your login details secure and for all activity under your account. Tell us promptly at info@watchkompany.com if you believe your account has been accessed without your permission.

We may suspend or close an account where we reasonably believe it has been used fraudulently or in breach of these terms.

4. Orders and acceptance

Your order is an offer to buy. A contract is formed only when we send you a dispatch confirmation — not when you receive an order acknowledgement, and not when payment is taken.

We may decline an order where:

  • The item is unavailable
  • There has been a pricing or description error
  • We are unable to verify your payment or delivery details
  • We reasonably suspect fraud
  • Delivery to your location is not something we can fulfil

Where we decline an order after payment, we refund you in full.

5. Prices and payment

All prices are in UAE Dirhams (AED). Shipping is calculated at checkout.

We accept the payment methods shown at checkout, which may include card payments and instalment providers such as Tabby and Tamara. Where you use an instalment provider, that provider's own terms apply to your payment plan in addition to these terms.

Payment must clear in full before dispatch.

6. Delivery

Delivery is governed by our Shipping Policy.

Delivery estimates are estimates, not guarantees. We are not liable for delays caused by couriers, customs, weather or other circumstances beyond our reasonable control.

Risk in the goods passes to you on delivery. Ownership passes once we have received payment in full.

7. Returns, refunds and warranty

Returns, refunds and warranty claims are governed by our Return and Refund Policy, which forms part of these terms.

Nothing in these terms limits your statutory rights under UAE Federal Law No. 15 of 2020 on Consumer Protection.

8. Acceptable use

You agree not to:

  • Use this website for any unlawful or fraudulent purpose
  • Place orders you do not intend to pay for
  • Attempt to gain unauthorised access to the site, its servers or any connected system
  • Introduce malicious code, or attempt to disrupt or overload the site
  • Scrape, copy or systematically extract content for commercial use
  • Resell products purchased from us as new without our written agreement

9. Limitation of liability

We accept liability for death or personal injury caused by our negligence, for fraud, and for any liability that cannot lawfully be excluded under UAE law.

Subject to that, our total liability to you in connection with any order is limited to the amount you paid for that order.

We are not liable for indirect or consequential loss, including loss of profit, loss of opportunity, or loss arising from an item being unavailable or delivered late.

Nothing in this section limits your statutory rights as a consumer under UAE law.

10. Events beyond our control

We are not liable for failure or delay in performing our obligations where that failure results from events beyond our reasonable control, including natural events, government action, civil disruption, carrier failure, or failure of telecommunications or payment networks.

11. Governing law and disputes

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai shall have jurisdiction.

This does not affect your right to bring a complaint before the relevant UAE consumer protection authority.

We would much rather resolve matters directly. Please contact us at info@watchkompany.com before escalating a dispute — most issues are resolved quickly once we know about them.

12. General

If any provision of these terms is found to be unenforceable, the remaining provisions continue in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

These terms, together with our Return and Refund Policy, Shipping Policy, Privacy Policy and Legal Notice, constitute the entire agreement between us.

We may update these terms from time to time. The version published at the time you place an order is the version that applies to that order.

Notes

Privacy policy. Yours shows as "Automated" in Shopify, meaning Shopify generates and maintains it. That's generally fine and I'd leave it alone — but check it names Hours Avenue FZ LLC and info@watchkompany.com rather than the old Gmail address.

Section 4 matters more than it looks. Stating that the contract forms on dispatch rather than on payment is what lets you cancel cleanly when a pricing error or stock problem surfaces. Given the compare-at pricing issues we found today, that clause is doing real work for you.

Section 8, resale clause. Included because microbrand limited editions get flipped. Drop it if you'd rather not restrict buyers.

Two clauses to flag to your lawyer: Section 9 (limitation of liability) and Section 11 (jurisdiction). UAE consumer law overrides contractual limitations in a consumer context, so Section 9 protects you less than its wording suggests. And the free zone versus mainland question affects Section 11.
